FLUENT Corp. is paying down a piece of its credit facility with stock. The Tampa-based multistate cannabis operator announced November 2 that it has entered into a credit conversion agreement with certain lenders under its existing senior secured credit agreement, under which about US$5.7 million of outstanding debt will be settled in common shares instead of cash. The announcement is a proposal, not a completed transaction: it still needs Canadian Securities Exchange approval.

The Terms

Under the agreement, the lenders will receive 310,194,363 common shares at a deemed price of US$0.0182 per share. FLUENT says that block will represent 11.8 percent of its issued and outstanding common shares on a non-diluted basis immediately after the settlement — meaning every existing shareholder's slice of the company shrinks by roughly that share of the whole.

The deemed price was not negotiated in a vacuum: it is based on the volume-weighted average trading price of FLUENT's shares on the Canadian Securities Exchange over the 20 consecutive trading days beginning October 2, 2026. Shares issued in the settlement will be subject to a statutory hold period under applicable securities laws.

The debt being settled sits under FLUENT's senior secured credit agreement dated November 26, 2024, as amended on March 17, 2026 and April 17, 2026, among FLUENT, its Canadian and U.S. subsidiaries, the lenders, and Chicago Atlantic Financial Services LLC as successor administrative agent.

A Step Inside a Bigger Deal

The settlement is not a standalone financing, and FLUENT does not present it as one. The company says it intends to close the debt settlement immediately prior to the completion of its previously announced plan of arrangement with Vireo Growth Inc. — in other words, the lenders' conversion is a balance-sheet cleanup step sequenced directly ahead of the Vireo transaction, so the arrangement closes against a capital structure with about US$5.7 million less debt and about 310 million more shares.

What the announcement does not do: it does not change the Vireo arrangement's terms, announce a new acquisition, or state what happens to the settlement if the arrangement does not complete. It is also not yet final — CSE approval is outstanding, and until it lands, the debt remains debt.

For FLUENT shareholders, the arithmetic is the story: less leverage going into the Vireo close, paid for with an 11.8 percent non-diluted stake handed to the lenders who held that debt.
